The requirements of opening GCC company branch in Saudi Arabia 

1. Copy of the mother company CR. authenticated from the Saudi embassy and ministry of foreign affairs.
 2. Copy of the Articles of Association of the mother company authenticated from the Saudi embassy and ministry of foreign affairs.
3. Shareholders resolution adopt opening of company branch in Kingdom of Saudi Arabia stating the location of the branch, capital, activities and appointing the General Manager (shall be Saudi or GCC national) and his powers authenticated from the Saudi Embassy and ministry of foreign affairs.
4. Certificate of clearance and good conduct for all shareholders in the mother Company issued from the ministry of interior and authenticated form the Saudi embassy and ministry of foreign affairs.
5. The Shareholders shall be not government employees.
6. Passport copy and Id. of the appointed general manager authenticated from the Saudi embassy and ministry of foreign affairs. (If he is a Saudi national only copy of his Id.)
7. In case there is Saudi shareholders in the mother company they should be not employees in any governmental body in Saudi Arabia.
8. A license from the concerned authority if the company branch activity requires such license.
9. Bank certificate of deposit of the branch capital from a Saudi Bank (after MOCU approval) 10.Power of attorney notarized and authenticated from the Saudi embassy in the investor country and ministry of foreign affairs.
11.The branch capital shall be commensurate with the branch activity and shall be not less than SAR 25000. - All above documents shall be in Arabic language or translated into Arabic language by recognize translation office in Saudi Arabia.

Time frame 3-7 weeks

The official fees 

1. SR.30 (thirty Saudi Riyal) the Saudi ministry of foreign affairs authentication fee per document.
2. SR. 60 (sixty Riyal) App. cost of document translation from English into Arabic language per page.
3. SR. 1200 (one thousand and two hundred Saudi Riyal) CR. fee for one year.
4. SR. 2100 (two thousand and one hundred Saudi Riyal) chamber of commerce subscription fee "in 2nd Degree".

The requirements to establish foreign services Company

1. Shareholder resolution to invest in the Kingdom of Saudi Arabia stating the shareholder’s names, Capital, shares percentage of each shareholder (Stock or Cash) location (For Example Al Khobar), activities of company and appointing General Manager authenticated from Saudi Embassy and Ministry of Foreign Affairs at the Investor Country.
2. Copy of Commercial Registration Certificate (CR) of the company authenticated from the Saudi Embassy and Ministry of Foreign Affairs at the investor country.
3. Copy of the Articles of Association of the company authenticated from the Saudi embassy and Ministry of Foreign Affairs at the investor Country.
4. The financial statements for the last fiscal year of the company duly authenticated from Ministry of Foreign affairs and Saudi Embassy at the investor’s country.
5. Passport copy of the appointed General Manager in the new company.
6. Passport copy of the General Manager in the parent company.
7. Acceptance of the relevant government aspect if the company activity requires such acceptance.
8. Proposed company names to register the trade-name in the Ministry of Commerce and Investment.
9. Power of attorney for our office issued from the Notary Public and duly authenticated from the Ministry of Foreign affairs and Saudi Embassy at the applicant country.

The requirements to Establish Mixed Professional Company (Firm)

1. Article of Association of the new Company
2. Certificate from the competent professional authority in the country of foreign company stating that the company with an outstanding reputation in the profession and they practiced the profession for a period of not less than ten years without interruption, it must be notarized and authenticated from the Saudi Embassy and Ministry of Foreign affairs translated into Arabic language.
3. Copy of the Commercial Registration stating the number and the date of the license, notarized and authenticated from the Saudi Embassy and Ministry of Foreign Affairs translated to Arabic language.
4. Shareholder or board resolution to establish a professional firm in the Kingdom of Saudi Arabia stating shareholder’s names, capital, shares percentage, location (i.e. Al Khobar, Dammam) activities and appointing the permanent representative in the Kingdom (of not less than the duration of residence in the Kingdom for nine months of the year and holds at least university degree in the specialized field of the company and should be a member in one of the professional associations specialized in the same company profession, and should have not less than ten years continuous work experience) notarized and authenticated from the Saudi Embassy and Ministry of Foreign Affairs translated to Arabic language.
5. Undertaking from the company to contribute in transferring the expertise and technology, training Saudi nationals notarized and authenticated from the Saudi Embassy and Ministry of Foreign Affairs translated to Arabic language.
6. Copy of Articles of association of the foreign company, authenticated from the competent authority and Saudi Embassy translated to Arabic language
7. Passport copy of all partners and the appointed General Manager (All pages) accompanied with 4 original personal photos for each partner (in white background).
8. Copy of all partner’s professional license.
9. Names of Saudi partners, occupations and number of licenses and its dates with shares of not less than 25% of the company capital
10. ID Copy of the Saudi Partner(s)

11. Power of attorney for our law firm, notarized and authenticated from the Saudi Embassy at firm’s country.
